Seth Rodner is a founding partner and a Managing Director of Dermarché Labs, where he serves as Chief Operating Officer and Chief Legal Officer, overseeing the company’s enterprise-wide business operations, legal affairs, government affairs, and corporate compliance. Prior to co-founding Dermarché Labs,Rodner acquired a unique combination of
government, private law practice, and public company executive experience spanning a 20-year legal and business career.
He has served as a federal prosecutor with the U.S. Department of Justice in Washington, D.C., where he specialized in international cartel enforcement; an equity partner in a prominent Florida law firm, where his nationwide practice focused on government investigations, regulatory proceedings, complex business disputes, and board counseling in highly-regulated industries including healthcare and life sciences; and most recently as Executive Vice President, Chief Legal Officer & Corporate Secretary of Medicis Pharmaceutical Corp. (NYSE: MRX), where he was appointed by the Board of Directors as a Section 16 executive officer.
Rodner initially joined Medicis in 2006 as its first Chief Compliance Officer, in which capacity he architected the company’s award-winning compliance program in a strategic way that allowed Medicis to achieve best-in-class status while simultaneously fueling the launch and growth of the largest dermatology franchise in the world. In 2010, he was appointed by the Medicis Board to assume firm-wide responsibility for the corporation’s legal affairs with a broad mandate including all corporate governance, securities disclosure, FDA regulatory, transactional, litigation, contracting, and intellectual property matters.
During his legal tenure,Rodner led the evaluation, negotiation, and patenting of numerous substantial technology licensing arrangements; advised the U.S. and international regulatory approval and commercial launch of numerous reimbursed and unreimbursed prescription pharmaceuticals, Class III medical devices, and biologics; and guided the $455 million acquisition of Graceway Pharmaceuticals in 2011, representing the then-largest transaction in Medicis’s history; the Company’s $500 million convertible senior notes offering in 2012 with associated hedge and warrant transactions; as well as Medicis’s $2.6 billion acquisition by Valeant Pharmaceuticals in 2012, representing a 40% premium to Medicis shareholders.
Rodner earned a B.A. from Amherst College and a J.D. from Duke University School of Law.
