Jerry Sokol is a Partner at the international law firm of McDermott Will & Emery, where he is based in the firm's Miami Office. Jerry is a corporate transactional lawyer who specializes in healthcare transactions and also has expertise in healthcare rules and regulations. He is a Board Certified healthcare attorney. Managing Partner of the firm’s Miami office.
Jerry has an active private equity practice with a focus on transactions with healthcare services companies. Jerry and his team are uniquely qualified to perform the M&A and finance work associated with these transactions, as well as the required health care specific due diligence and regulatory work related to acquiring and selling target companies.
In addition to general healthcare clients, Jerry has developed a niche representing Ambulatory Surgery Centers (ASC) and Ambulatory Surgery Center Management Companies with all of their transactional and regulatory needs. He is generally regarded as one of the top ASC attorneys in the country.
While Jerry has substantial experience on the "buy" side of healthcare transactions, he also has a focus on representing the "sell" side of these transactions. Jerry and his team work with sellers to structure tractions in the most tax efficient manner in order to minimize taxes paid as a result of the deal. His team is adept at limiting and minimizing the seller's potential post closing liabilities to the buyer.
Jerry's healthcare transactions span a wide range of healthcare services companies. He has closed physician services transactions in a wide range of specialties (e.g., anesthesia, pain, dental, dermatology, radiology, orthopedics), health systems and hospital transactions, and transactions with "payor"/managed care entities.
Jerry also has a team that represents healthcare clients defending against governmental investigations, including whistleblower/qui tam cases. This team consists of many former Assistants U.S. Attorneys who have worked in healthcare fraud, as well as attorneys with substantial technical healthcare regulatory expertise (e.g. Stark, Anti-Kickback). McDermott is well positioned to handle these "bet the company" representations at the highest level.
Jerry is ranked in Chambers USA, and listed in Super Lawyers and the Best Lawyers in America. Jerry is also included in the Nightingale's Healthcare News' Outstanding Healthcare Transaction Lawyers list. He has authored numerous articles on a variety of health care topics and lectures extensively around the country on health care transactional and regulatory topics.
In addition to practicing law, Jerry is actively involved in numerous charitable organizations. He is currently on the board of the Miami Beach Jewish Community Center and spearheaded the effort to raise the funds to build a brand new state of the art JCC facility on Miami Beach.
