Since the inception of the Predecessor Company in 1967, Clark/Bardes, the wholly owned operating subsidiary of CBH, has designed, marketed and administered insurance-financed employee benefit programs to large corporations and community, regional and money center banks. The Company's clients use these sophisticated programs primarily to
offset the costs of employee benefit liabilities and to supplement and secure benefits for key executives. The Company's revenue is earned primarily from (i) commissions paid to Clark/Bardes by the insurance companies that underwrite the policies underlying the Company's programs and (ii) fees paid by clients in connection with initial program design
and the ongoing administrative services provided by the Company. Such commissions and fees are usually long-term and recurring and are typically paid annually and extend over a period of ten years or more after a sale.
