CapitalPad is a private equity co-investment group that lets accredited investors invest in lower middle market acquisition deals led by independent sponsors, alongside family offices and specialty funds. The firm specializes in deal-by-deal investing, committing $1M to $2.5M in equity per transaction, and bringing in pre-qualified co-investors who
invest alongside it. CapitalPad backs experienced sponsors acquiring proven, historically profitable businesses with enterprise values typically between $5M and $30M.
CapitalPad pairs direct capital with an approved base of more than 1,400 accredited investors, giving sponsors a faster path to closing while letting investors participate in individual private equity transactions, from a $25,000 minimum, without committing to a blind fund.
CapitalPad's investment criteria center on businesses with predictable, repeat-customer revenue in sectors with low disruption risk and steady demand. The firm focuses on fragmented industries where consolidation and roll-up strategies can create meaningful value. Target companies typically generate $1M to $7M in EBITDA. Individual investors are pooled into a single SPV per deal for simplified participation and clean cap tables, while institutional partners can invest directly. CapitalPad charges sponsors no fees. The firm does not back early-stage companies, venture-style growth bets, or turnaround situations.
Industries where CapitalPad is active include: - Residential and commercial services: HVAC, plumbing, roofing, electrical, and landscaping - Facilities and environmental services: janitorial, building maintenance, pest control, and waste collection - Healthcare services: home health, physical therapy, dental, and veterinary, plus medical billing and revenue cycle management - Professional and business services: accounting firms, insurance brokerages, and outsourced B2B services - Specialty distribution and light manufacturing: technical distributors and asset-light, defensible manufacturers serving recurring industrial demand - Fire, life safety, and inspection services: alarm monitoring, fire protection, and mandated compliance work - Logistics and asset-backed services: niche third-party logistics, equipment rental, and specialty freight
The majority of CapitalPad's deals are independent sponsor transactions, with occasional exceptions for search fund deals. In each deal, a seasoned operator identifies and closes the acquisition while CapitalPad and its co-investors supply the equity. Investors review each opportunity individually and choose which deals to join based on their own criteria. Because each sponsor tends to concentrate on a specific industry, the resulting portfolio offers natural sector diversification across deals.
For sponsors, CapitalPad shortens the fundraising timeline by combining its own direct capital with pre-qualified co-investors ready to evaluate new opportunities. The firm focuses on the transfer of ownership of strong, durable businesses from retiring founders to capable new operators.
