The commercial due diligence, is the strategic set of works of research or checking of the commercial area of a society, of indispensable knowledge for an investing potential, in the process of evaluation and valuation of a company.

In mergers and acquisitions of companies, the buying part needs to know the situation of the company to acquire. The basic function of due diligence, is to evaluate the assets and obligations of the company I target, detecting the significant aspects of past, present and future.

The global due diligence allows to evaluate the assets, liabilities, juridical situation, contracts, bylaws, fulfillment of the in force legislation, registered brands(marks), intangible assets, to determine the risks of the business and to determine the existence of secret, real or potential liabilities.

In the same way, it allows to evaluate intangible assets as the human capital, the knowledge, the culture of the company, training, capacity of leadership, etc. The commercial due diligence allows to know the analysis of the competition, the markets in which it occurs, the positioning, the strategic lines of future and the structure of the company.

An effective program of due diligence commercial and of market, it helps to negotiate better, to preparing a correct integration, being the complement of the financial quantification and when it turns out to be an effective help in the definitive valuation of the society.
