Data General Corporation (DGC) entered into an agreement and plan of merger with EMC Corporation, pursuant to which Emerald Merger Corporation, a wholly owned subsidiary of EMC, would merge with and into DGC with DGC as the surviving subsidiary of EMC. Data General Corporation was engaged in the design, manufacture, marketing, and support of a family of open computer systems, including servers and mass storage products, as of June 26, 1999.
